New York Court Considers Minority Shareholder’s Right to Books and Records

In Galasso v Cobleskill Stone Products, Inc., 73 Misc 3d 1231(A) [Sup Ct 2021], Judge Platkin wrote a comprehensive opinion on the statutory and common law bases for allowing a shareholder’s access to a corporation’s books and records in the middle of a shareholder dispute. Moreover, there were important holdings on access to such records and tax returns after the valuation date. For anyone with a shareholder dispute in New York, this case is essential reading.
